Please read carefully the following terms and conditions before applying to be part of saudiaonline.net as a vendor.
This Terms of Use for Vendors describe the terms and conditions applicable to your access and use of the website and application as a Vendor of saudiaonline.net e-commerce Portals Management and Operation (hereinafter refer to “saudiaonline.net” “We”).
If at any time you do not accept all of these terms & conditions, you must stop using the site. Certain areas within the site may be governed by additional terms and policies (“additional terms”). By using those areas of the site, you agree to the additional terms. The additional terms are incorporated into these terms & conditions, and any reference to these terms & conditions includes the additional terms.
TERM OF AGREEMENT
Your use or access of the Site as a Vendor constitutes your unconditional agreement to follow and be bound by this Agreement. If you do not agree and accept all of the rules of this Agreement do not open set up your shop at saudiaonline.net. This agreement shall remain valid and binding until terminated by either party.
If you are a minor i.e. under the age of 16 years, you shall not register as a Vendor on the saudiaonline.net, transact or use the Platform. saudiaonline.net reserves the right to terminate your registration and/or refuse you access to the Platform if it is brought to saudiaonline.net’s notice or discovered that you are under the age of 16 years.
Business license is vital when it comes to setting up and maintaining your store at saudiaonline.net. To register your business with us you’ll need to provide relevant documents, upon request, in order to verify valid and updated license of your business.
In the course of your use of the Platform, you agree to furnish your details and information as requested by saudiaonline.net from time to time. You shall remain responsible for maintaining confidentiality of this information, as well as your, login and password details. You agree that if you provide any information which is untrue, inaccurate, not current, misleading, or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with the given set of Terms and Condition, we shall have the right to suspend or terminate your account on the Platform or indefinitely block you from accessing the website and app.
You may strictly not use the saudiaonline.net for any purpose that is unlawful or prohibited by this agreement or to solicit the performance of any illegal activity or other activity which infringes the rights of saudiaonline.net and/or others.
AVAILABILITY OF PRODUCTS
The Vendor will updates its inventory and keep the saudiaonline.net informed, upon request, at all times about the availability of the products in its inventory along with detailed specifications like size, colour, texture etc. as may be required of the product.
Vendor understands that order placed on the saudiaonline.net by a buyer shall be honoured by the Vendor, failing which the saudiaonline.net shall have a right to recover any loss and damages incurred by it for failure to meet the order against the Vendor and the Vendor indemnifies the saudiaonline.net in this regard.
Certain products or services may be available exclusively online through the saudiaonline.net. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We reserve the right, but are not obligated, to limit the sales of products or Services to any customer, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any items that you offer.
All prices are subject to change without notice and are not guaranteed, except that prices for an order that have been accepted by saudiaonline.net and/or its Vendors are not subject to change after acceptance. Current market value, rising labor and manufacturing costs, taxes and other factors may lead to alter the price. (price of placed order is not subject to change. This clause applies on both buyer and vendor)
We reserve the right to reject any product, listing on your store, at saudiaonline.net, at any time. Any product or service listed on this site is void where prohibited.
Vendor warrants that the quality of listed products, services, information, or other material published by you will be complete, right and accurate, or that any errors in the Service will be corrected by the Vendors.
PROHIBITED PRODUCTS
It is vendor’s responsibility to make sure that all items listed under your profile are fully compliant with the laws of Bahrain, as well as saudiaonline.net’s terms and conditions.
A Vendor acknowledges and agrees that vendor will not make available any product or content in connection with the saudiaonline.net website and application that:
is false, fraudulent, inaccurate, or misleading;
violates any national or international laws or is otherwise tortious;
is protected by or would infringe on the rights of others, including any patent, copyright, trademark, trade secret, right of publicity or privacy, or any other proprietary right, without the express prior written consent of the applicable owner;
is sexual, obscene, indecent, pornographic, or otherwise objectionable;
is derogatory, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by saudiaonline.net in its sole discretion;
victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
is violent or threatening e.g. firearms, or promotes violence against, or actions that are threatening to, any individual or group;
impersonates another business, person, or entity, including saudiaonline.net, its related entities, employees, and agents;
is intended to cause harm, damage, disable, or otherwise interfere with the saudiaonline.net Sites or our partners.
We value honesty and fairness. We don’t allow the promotionof all above mentioned prohibited products or services and all ad, products, features, or networks that are able to support the restricted content or products.
saudiaonline.net prohibits the display, promotion or showcasing any product or service that promotes or encourages human trafficking of any sort.
saudiaonline.net, on its sole discretion, may limit, restrict or prohibit any product with or without reason, to be published on website.
COMMISSIONS
The saudiaonline.net provides payment transaction services between buyer and vendor. saudiaonline.net charges a particular commission, which may vary, for providing hosting and meditation services on the website and application. However for all such sales that are generated using the website or app of saudiaonline.net, a commission shall be paid by the Vendor to the saudiaonline.net before settling their sales. The set rules of agreed commission can be amended to modify any rate of commission in respect of any product. Any amendment to such schedule will be express. The said schedule is to be treated as part and parcel of the agreement.
It is expressly agreed by the parties hereto that the amount of commission will be deducted by saudiaonline.net as the amount received from the buyer. After commission deduction, payment will be released to vendor.
The parties may endeavor to perform reconciliation of accounts/orders every 14 days during the term of this agreement.
Vendors understand that they may have to bear some other charges along with commission, such as bank transaction fee, a currency conversion fee, and even any separate fee and taxes during transaction between vendor and saudiaonline.net, from other countries.
ORDER HANDLING AND DELIVERY
The Vendor shall immediately arrange to deliver the ordered products to the designated address as early as possible but in any case the dispatch shall be made within 24 hours of the receipt of the Order. In case the Vendor fails to dispatch the product within the aforesaid time, saudiaonline.net at the request of buyer or as it sees suitable, will return any amount received in respect of the order back to the customer No delay in returning the amount is permissible and any delay caused shall be considered as breach of the agreement
The Vendor shall ensure that the products dispatched are covering the specifications of order and that there is no variation whatsoever. The necessary guarantee/warranty shall be provided by the Vendor to the end buyer.
The Vendor agrees to replace the defective products supplied to the end buyer at its own cost and shall not hold the saudiaonline.net responsible in any manner whatsoever. The Vendor hereby indemnifies the saudiaonline.net, its directors and employees against any claim which may be made against them by the end buyer or any other third party in respect of any defective products supplied by the Vendor.
The saudiaonline.net may, at its discretion, arrange to lift (shipping back)the defective products from the end buyer, however, the Vendor will still be liable to replace the defective product compliance with saudiaonline.net’s Return Policy. Any charges incurred by the saudiaonline.net for lifting and forwarding such defective goods shall be on account of the Vendor. The Vendor hereby authorizes the saudiaonline.net to entertain all claims of return of the Product in the mutual interest of the Vendor as well as the Buyer.
saudiaonline.net may, from time to time, enter into special agreements with shipping/courier companies to facilities vendors with shipping services. Vendors agree to pay services fee for this special arrangement.
UNDERTAKINGS OF VENDOR
The Vendor hereby undertakes as follows:
To deliver the product ordered by the end buyer in accordance with the specifications/description specified by the end buyer including quantity and quality prescribed in the Order and there should be no instance of wrong item being delivered and/or quality issue and/or issue of Non delivery. Further, the Vendor shall maintain adequate stock/inventory of the items at all times. In case the Vendor is running out of supplies or is likely not to fulfill an Order received by the saudiaonline.net, it shall notify to the saudiaonline.net and notice of OUT OF STOCK for the product should be placed on the website.
It is not allowed to send any kind of promotional material or any material, which is, derogatory to and/or adverse to the interests financial or otherwise of the saudiaonline.net, to the end buyer either along with the products supplied or in any manner whatsoever.
Not to do any act/deal in a thing / products/goods/services which are either banned/prohibited by law or violates any of the intellectual property right of any party in respect of such product.
The Vendor declares that it has all rights and authorisations/license in respect of intellectual property rights of third parties and is authorised to sell/provide/licence such products to the buyer. The copy of such authorization/license shall be provided on demand without failure and/or protest.
The Vendor agrees to indemnify and keep indemnified the saudiaonline.net from all claims/losses (including attorney’s fee for defending/prosecuting any case) that may arise against the saudiaonline.net due to acts/omission on the part of the Vendor
To provide to the saudiaonline.net, for the purpose of the creation/display on website of saudiaonline.net, the product description, images, disclaimer, delivery time, price and such other details for the products to be displayed and offered for sale.
To ensure and not to provide any description/image/text/graphic which is unlawful, illegal, intimidating, obnoxious, objectionable, obscene, vulgar, opposed to public policy, prohibited by law or morality or is in violation of intellectual property rights including but not limited to Trademark and copyright of any third party or of inaccurate, false, incorrect, misleading description or is derogatory in nature. Further it will forward the product description and image only for the product which is offered for sale through the website and/or application of saudiaonline.net. The Vendor agrees that in case there is violation of this covenant, it shall do and cause to be done all such acts as are necessary to prevent disrepute being caused to saudiaonline.net.
To provide full, correct, accurate and true description of the product so as to enable the end buyers to make an informed decision. The Vendor agrees not to provide any such description/information regarding the product which amounts to misrepresentation to the end buyer.
To be solely responsible for the quality, quantity, merchantability, guarantee, warranties in respect of the products offered for sale through portal of the saudiaonline.net.
At all times have access to the Internet and its email account to check the status of approved orders and will ensure prompt deliveries within the time frame mentioned herein before in the agreement.
Vendor admin will provide information in saudiaonline.net system about the Order Status including Order Number on a daily basis.
To raise an invoice as well as receipt of payment in the name of end buyer for an amount equivalent to the amount displayed as the retail price on the online store to the end buyer and paid by/charged to the end buyer.
Parties, vendor and customer, understand that payment from the end buyer will be received by saudiaonline.net and then settled to vendor upon satisfactory delivery of ordered product to buyer.
Not to offer any Products for Sale on the Online Store, which are prohibited for sale, dangerous, against the public policy, banned, unlawful, illegal or prohibited under the Bahrain laws.
To provide satisfactory proof about the ownership/licences of all the legal rights in the Products that are offered for sale on the Online Store as and when demanded by the saudiaonline.net.
To pass on the legal title, rights and ownership in the Products sold to the end buyer.
To be solely responsible for, and indemnify the saudiaonline.net against, any dispute that may be raised by the end buyer relating to the goods, merchandise and services provided by the Vendor. No claim of whatsoever nature will be raised on the saudiaonline.net.
The Vendor shall at all time during the term of this agreement endeavor to protect and promote the interests of the saudiaonline.net and ensure that third parties rights including intellectual property rights are not infringed.
The Vendor shall at all times be responsible for compliance of all applicable laws and regulations including but not limited to Intellectual Property Rights, applicable tax laws (including, Value added tax), applicable national standards, etc.
To provide to the saudiaonline.net copies of any document required by the saudiaonline.net for the purposes of performance of its obligations under this agreement within 48 hours of getting a written notice from the saudiaonline.net .
To seek advance written approval from the saudiaonline.net, prior to release of any promotion/advertisement material, in so far as the same relates to services offered pursuant to the terms of this Agreement.
WARRANTIES AND REPRESENTATIONS
The vendor warrants and represents that:
It has the right and authority to enter into this Agreement with the saudiaonline.net and the agreement so executed is binding in nature.
All obligations under this Agreement are legal, valid, binding and enforceable in law against the Vendor.
There are no proceedings pending against the vendor, which may have a material adverse effect on its ability to perform and meet the obligations under this Agreement;
That it holds all the requisite permissions, authorities, approvals and sanctions to conduct its business and to enter into present agreement with the saudiaonline.net.
It shall, at all times ensure compliance with all the requirements applicable to its business and for the purposes of this agreement including but not limited to Intellectual Property Rights, applicable tax laws (including, Value added tax), applicable Bahrain national standards, etc. It further declares and confirms that it has paid and shall continue to discharge all its obligations towards statutory authorities.
That it has adequate rights under relevant laws including but not limited to various Intellectual Property Legislation(s) to enter into this Agreement with the saudiaonline.net and perform the obligations contained herein and that it has not violated/ infringed any intellectual property rights of any third party.
It shall maintain details of all transaction and mark as complete / incomplete as the case may be and shall provide the same to the saudiaonline.net upon demand.
ACKNOWLEDGEMENT
Vendor agrees and acknowledges that the saudiaonline.net, at all times during the term of this Agreement, shall have the right to remove/block/delete any text, graphic, image(s) uploaded on the saudiaonline.net by the Vendor without any prior notice to the vendor in the event the said text, image, graphic is found to be in violation of law, breach of any of the terms of this Agreement, terms and conditions of saudiaonline.net website and application. In such an event, the saudiaonline.net reserves the right to forthwith remove/close the online store of the Vendor without any prior notice or liability to the Vendor.
Appropriate disclaimers and terms of use on saudiaonline.net portal shall be placed by the saudiaonline.net.
At any time if the saudiaonline.net believes that the services are being utilized by the vendor or its end buyer in contravention of the terms and provisions of this Agreement, Terms and conditions of use of saudiaonline.net, the saudiaonline.net shall have the right either at its sole discretion or upon the receipt of a request from the legal / statutory authorities or a court order to discontinue/terminate the said service(s) to the end buyer or any end user as the case may be, forthwith remove/block/close the online store of the Vendor and furnish such details about the Vendor and/or its buyers upon a request received from the Legal/ Statutory Authorities or under a Court order.
INDEMNITY
The Vendor indemnifies and shall hold indemnified the saudiaonline.net, its partners, officers, employees, representatives, agents from and against all losses, damages, claims, suits, legal proceedings and otherwise howsoever arising from or in connection with any claim including, but not limited to, claim for any infringement of any intellectual property rights or any other rights of any third party or of law, concerning quality, quantity and any claim in relation to the Vendor’s product, the breach of any of the Vendor’s warranties, representations or undertakings or in relation to the non-fulfillment of any of its obligations under this Agreement or arising out of the Vendor infringing any applicable laws, regulations including but not limited to Intellectual Property Rights, applicable laws and standards. For the purpose of this clause reference to the saudiaonline.net shall also include the Mobile Operators and such other agencies through whom the saudiaonline.net shall make the Online Store available to the end buyers.
LIMITATION OF LIABILITY
The saudiaonline.net on the basis of representation by the Vendor is marketing the products of the Vendor on the shopping portal to enable Vendor to offer its products for sale through the saudiaonline.net website and application. This representation is the essence of the agreement between the parties. It is expressly agreed by the Vendor that the saudiaonline.net shall under no circumstances be liable or responsible for any loss, injury or damage to the Vendor, buyer or any other party whomsoever, arising on account of any transaction under this Agreement or as a result of the products being in any way damaged, defective, in unfit condition, infringing/ violating any laws/ regulations/ intellectual property rights of any third party. The Vendor agrees and acknowledges that it shall be solely liable for any claims, damages, allegation arising out of the products offered for sale through saudiaonline.net website and application (including but not limited to quality, quantity, price, merchantability, use for a particular purpose, or any other related claim) and shall hold the saudiaonline.net harmless and indemnified against all such claims and damages. Further the saudiaonline.net shall not be liable for, and the Vendor indemnifies the saudiaonline.net against, any claims, damages arising out of any negligence, misconduct or misrepresentation by the Vendor or any of its representatives.
The saudiaonline.net under no circumstances will be liable to the Vendor for loss and/or anticipated loss of profits, or for any direct or indirect, incidental, consequential, special or exemplary damages arising from the subject matter of this Agreement, regardless of the type of claim and even if the Vendor has been advised of the possibility of such damages, such as, but not limited to loss of revenue or anticipated profits or loss business, unless such loss or damages is proven by the Vendor to have been deliberately caused by the saudiaonline.net .
In any event, notwithstanding anything to the contrary contained in this Agreement, the liability of the saudiaonline.net for any loss suffered by the Vendor under this Agreement shall be limited to total aggregate liability of BHD 100.
TERMINATION AND EFFECTS OF TERMINATION
This Agreement may be terminated by the saudiaonline.net forthwith in the event that:
The Vendor fails to follow the payment transactions and commission rules set by saudiaonline.net;
The Vendor commits a material breach of any representation, obligations, covenant, warranty or term of this Agreement and the same is not cured within 30 (thirty) days after prior written notice given by the saudiaonline.net .
If the Vendor is liquidated or commits any act of insolvency.
If the Vendor is in infringement of the third party rights including intellectual property rights.
This Agreement may be terminated without reason by either party after serving upon the other, a written notice of 30 (thirty) days. The agreement shall stand terminated after expiry of such period.
Effect of Termination:
In the event of termination/expiry of this Agreement, the saudiaonline.net shall remove the Links and shall discontinue display of the Products on online shopping portal with immediate effect.
saudiaonline.net shall not be liable for any loss or damages (direct, indirect or inconsequential) incurred by the Vendor by virtue of termination of this Agreement.
During the period under notice both the parties shall be bound to perform its obligations incurred under this Agreement and this sub-clause shall survive the termination of this Agreement.
INTELLECTUAL PROPERTY RIGHTS
The Vendor expressly authorises the saudiaonline.net to use its trade marks/copy rights/ designs /logos and other intellectual property owned and/or licenced by it for the purpose of reproduction on the website and at such other places as the saudiaonline.net may deem necessary. It is expressly agreed and clarified that, except as specified agreed in this Agreement, each Party shall retain all right, title and interest in their respective trademarks and logos and that nothing contained in this Agreement, nor the use of the trademark / logos on the publicity, advertising, promotional or other material in relation to the services shall be construed as giving to any Party any right, title or interest of any nature whatsoever to any of the other Party’s trademarks and / or logos.
CONFIDENTIALITY
The contents, material, invoices, documents, images and any information passed on by the saudiaonline.net to the Vendor is highly confidential in nature and the Vendor agrees and undertakes to maintain the confidentiality of the information and user/buyer data disclosed, generated or made available to Vendor under this Agreement. The said information shall not be used by the Vendor or its agents, servants, representatives or any person acting through or claiming through the Vendor for any purpose other than for the performance of its obligations under this Agreement. The Vendor agrees that the unauthorized disclosure or use of such information would cause irreparable harm and significant injury, the degree of which may be difficult to ascertain. Accordingly, the Vendor agrees that the saudiaonline.net shall have the right to obtain an immediate injunction from any court of law ensuing breach of this Agreement and/or disclosure of the Confidential Information. The saudiaonline.net shall also have the right to pursue any other rights or remedies available at law or equity for such a breach.
GENERAL TERMS
The laws of The Kingdom of Saudi Arabia, as are enforced, shall be applicable to this Agreement.
All notices and other communication under this Agreement shall be in writing, in English language and shall be caused to be delivered by hand or sent by fax, email or courier in each case to the addresses as set out at the end of this Agreement.
This Agreement embodies the entire agreement and understanding of the Parties and supersedes any and all other prior and contemporaneous agreements, correspondence, arrangements and understandings (whether written or oral) between the Parties with respect to its subject matter.
Neither this Agreement nor any part of it is assignable, transferable, sub-licensable, sub-contractable or conveyable by Vendor, either by operation of law or otherwise, without the express, prior, written consent of the saudiaonline.net signed by an authorized representative of such Party. The saudiaonline.net is at liberty to refuse such consent.
Nothing in this Agreement will be construed as creating a relationship of partnership, joint venture, agency or employment between the Parties. The saudiaonline.net shall not be responsible for the acts or omissions of the Vendor and the Vendor shall not represent the saudiaonline.net, any power or authority to speak for, represent, bind or assume any obligation on behalf of the saudiaonline.net.
No waiver of any breach of any provision of this Agreement constitutes a waiver of any prior, concurrent or subsequent breach of the same or any other provisions, and will not be effective unless made in writing and signed by an authorised representative of the waiving Party.
Except as expressly set out in this Agreement, no amendment is binding on the Parties unless it is in writing and signed by a duly authorized representative of each of the Parties.
Neither Party shall be responsible or liable for any delay or failure to perform its obligations (other than an obligation to make payment) under this Agreement due to unforeseen circumstances or any event which is beyond that Party’s reasonable control and without its fault or negligence, but not limited to, acts of God, war, riots, embargoes, strikes, lockouts, acts of any Government authority, delays in obtaining licenses or rejection of applications under the Statutes, failure of telephone connections or power failure, fire or floods.
